Responsibilities include drafting, reviewing, and negotiating a high volume of client and third-party agreements, including client services agreements, master services agreements, statements of work, confidentiality agreements, release letters, software development and licensing agreements, vendor agreements, data processing addenda, collaboration agreements and other legal documents.The ideal candidate will be able to identify liability exposures and provide practical and creative solutions to both manage risk and support growth. The ability to prioritize work and to work efficiently and independently is a must. This role will report to an Assistant General Counsel on the team.What is in it for you?Work for a company committed to being a responsible corporate citizen with great employee benefits and paid time off.Organization dedicated to fostering a vibrant, inclusive, and diverse culture at work, in which every voice is heard.Excellent Benefits - Competitive salaries and comprehensive benefits and programs including health and welfare, tuition assistance, employee assistance program, domestic partnership benefits, career mobility, generous vacation plan and much more.A company with a strong brand and strong results to match.We will count on you to:Provide corporate advice and support on a wide range of legal issues and projects to the OWG businesses in the Americas.Negotiate and draft various types of legal documents including contracts, memos, subcontracts, vendor agreements and other legal documents.Analyze new and changing laws and regulations.Identify liability exposure and provide creative solutions to manage and reduce risk.Interact with outside counsel for the Company as well as outside counsel for adverse parties.Conduct negotiations with external third parties, elevating unresolved legal issues to other members of the legal department as appropriate.Provide business colleagues with practical advice and guidance and develop solutions to issues while managing business and legal considerations.Interpret and explain contract terms to internal business colleagues.Assist with responding to RFP proposals to prospective clients.Manage workflow effectively in a proactive and responsive fashion.What you need to have:A minimum of 3 years of legal experience obtained at a law firm or corporate legal department.Requires qualification and license to practice law as per local statutes, rules and regulations.Law degree required.Experience with review and independent negotiation of contracts.Good understanding of contractual risk.Meets the specific requirements to practice law in-house in New York State, or the State where they reside.What makes you stand out:Experience with professional service agreements and/or software licensing agreements, as well as data privacy terms, is strongly preferred.Exercise good judgment, possess financial acumen, demonstrate strong communication skills and the ability to collaborate effectively.Excellent organization and communication skills.Keen attention to detail and excellent analytical ability.Exercise sound judgement and discretion with highly confidential information.Able to work under pressure to meet deadlines and changing priorities.General fluency with business issues, and the ability to formulate legal solutions based on both our clients’ and Oliver Wyman’s business priorities.Spanish-language skills are a plus.Marsh McLennan is committed to embracing a diverse, inclusive, and flexible work environment.
