Intact Technology is seeking a highly experienced and detail-oriented

Director of Contracts

to join our team. This is a hands-on position reporting to the EVP of Operations.

As a Director of Contracts, you will play a pivotal role in supporting our organization's commercial and government contract and subcontract management activities. Your expertise in writing, evaluating, negotiating, and executing a wide variety of contracts will be critical in ensuring successful contract outcomes and compliance with government regulations. The ideal candidate has successfully prioritized deliverables and deadlines under challenging circumstances while maintaining a productive environment and possesses excellent communication skills (both verbal and written), organizational and leadership skills.

Duties / Responsibilities

Interface with various internal and external stakeholders to successfully negotiate and execute contracts and subcontracts, including terms and conditions.

Manage contract performance and monitor progress to efficiently meet milestones and deliverables, ensuring compliance with applicable laws, delivery schedules, payment provisions, contract data reporting requirements, and other contractual requirements.

Maintain communications to ensure timely contract execution by the parties and ensure final contract documents are consistent with agreements reached at negotiations.

Lead the purchasing function to solicit proposals for subcontractors, negotiate subcontracts to ensure appropriate flow down of prime contract requirements, and monitor subcontractors’ performance and contract compliance.

Ensure compliance with internal policies, laws, government regulations, and export controls.

Maintain an in-depth knowledge of the Federal acquisition and procurement environment, including FAR/DFARS.

Assist with government contract proposals, letters of intent, Teaming agreements, NDA’s, funding reports, and monthly invoicing.

Develop, draft, review, and negotiate a wide variety of contracts covering a range of transactions, including commercial and government contracts and subcontracts.

Conduct comprehensive reviews of contract documents to identify potential risks, ambiguities, and deviations from standard terms and conditions.

Coordinate and negotiate contract modifications, including changes to rates, terms, conditions, and scope of work.

Work closely with team members to ensure contract terms are accurate, legally binding, and protect the organization's interests.

Ensure proper documentation and record-keeping of all contract-related activities, correspondence, and agreements.

Provide guidance and support to internal teams on contract interpretation, compliance, and adherence.

Stay updated on relevant government regulations, policies, and industry best practices related to government contract writing and negotiation.

Supervisory Responsibilities

Lead and mentor the contracts team.

Prioritize and assign work, ensure staff training, conduct performance evaluations, and make hiring, termination, and disciplinary recommendations.

Direct, oversee, and manage the activities of Contract Services.

Set objectives, performance metrics, and motivate team to meet and exceed goals.

Required Qualifications

Bachelor’s Degree from an accredited four-year College or University in Business or Procurement is preferred. Advanced Degree or relevant certifications (e.g., Certified Federal Contracts Manager - CFCM) are a plus.

Minimum 15 years of proven Contract Administration experience, with a minimum of 5 years managing a contracts-related team.

Strong knowledge of government procurement regulations, including FAR, DFARS, and agency-specific guidelines.

Extensive experience in writing, negotiating, and managing contract and subcontracting agreements.

Experience with various contract types.

Experience developing solutions to complex contracting issues, using ingenuity and innovation.

Proficient in drafting and negotiating complex teaming arrangements or other types of contracting arrangements.

Excellent interpersonal communication skills, the ability to build rapport and relationships, and collaborate with a broad and diverse population of internal and external team members.

Superior time management skills and the ability to manage and drive multiple complex projects with overlapping or competing timeframes.

Demonstrated ability to thrive and continuously deliver in a constantly changing, fast-paced, and team-oriented sales environment.

Proven critical thinking and effective decision-making abilities.
