A law firm in Washington, DC, is seeking a Corporate Associate Attorney to join their Corporate group and Nonprofit Organizations team. This position is ideal for an attorney with 3-5 years of experience in private practice, specializing in advising nonprofit organizations on tax, corporate, and charitable trust matters. Candidates with a demonstrated interest or experience in political law, corporate law, or tax law—including corporate and partnership tax, employee benefits, or trusts and estates—are highly encouraged to apply.DutiesProvide expert legal counsel to nonprofit organizations on a variety of issues including tax compliance, corporate governance, and charitable trusts.Assist with the formation, structuring, and dissolution of nonprofit entities, ensuring adherence to federal and state regulations.Address complex legal issues related to corporate and partnership tax, employee benefits, and trusts and estates.Draft, review, and negotiate legal documents such as contracts, bylaws, and organizational agreements.Conduct thorough legal research and prepare detailed memoranda on relevant legal issues.Represent clients in interactions with regulatory agencies and manage disputes related to nonprofit governance and compliance.Develop and implement strategies to ensure compliance with legal and regulatory requirements.Stay current with changes in laws and regulations affecting nonprofit organizations and provide proactive legal advice.Contribute to business development by attracting new clients and enhancing the firm’s presence in the nonprofit sector.Requirements3-5 years of legal experience in private practice, focusing on advising nonprofit organizations.Expertise in tax, corporate, and charitable trust issues specific to tax-exempt and nonprofit organizations.Experience or strong interest in political law, corporate law, or tax law, including corporate and partnership tax, employee benefits, or trusts and estates.EducationJuris Doctor (J.D.) degree from an accredited law school.CertificationsActive Bar License in good standing in Washington, DC (or willingness to obtain if relocating).SkillsIn-depth knowledge of nonprofit law, including tax-exempt organizations, corporate governance, and charitable trusts.Strong analytical and problem-solving skills.Proficient in drafting, negotiating, and reviewing complex legal documents.Excellent research and writing capabilities.Clear and effective communication skills, with the ability to explain complex legal concepts to clients.Strong organizational skills with the ability to manage multiple tasks and deadlines effectively.Collaborative team player with a focus on delivering exceptional client service.
