A law firm in Houston is seeking a highly experienced Healthcare Transactional Counsel to join its team. The ideal candidate will have extensive experience in healthcare transactional work, with a particular focus on private equity transactions. The firm is looking for an individual who can continue to build a practice around healthcare transactions while collaborating with cross-disciplinary teams. Prior experience in a sophisticated law firm and a background in healthcare law are highly preferred. Strong academic credentials and excellent writing skills are essential for success in this role.

Duties and Responsibilities:

Lead and manage healthcare transactional matters, including mergers, acquisitions, joint ventures, and private equity transactions.

Draft, review, and negotiate complex transactional documents such as purchase agreements, shareholder agreements, and partnership agreements.

Advise clients on regulatory and compliance issues related to healthcare transactions, including Stark Law, Anti-Kickback Statute, and HIPAA.

Work closely with private equity clients on investment strategies in the healthcare sector.

Conduct due diligence in connection with healthcare transactions, identifying potential risks and legal issues.

Provide counsel to healthcare providers, health systems, and investors regarding corporate governance and transactional matters.

Collaborate with multidisciplinary teams, including corporate, tax, and regulatory attorneys, to support healthcare clients.

Stay up-to-date on developments in healthcare regulations and transactional trends to provide proactive legal advice.

Mentor junior associates and contribute to their professional development.

Requirements:

Minimum of 7+ years of transactional experience, with a focus on healthcare and private equity transactions.

Prior experience working in a sophisticated law firm environment is highly preferred.

Solid experience in healthcare law, particularly in regulatory and compliance issues related to transactions.

Proven ability to handle complex transactional matters independently and collaboratively.

Strong understanding of healthcare regulations, including Stark Law, Anti-Kickback Statute, and HIPAA.

Education:Juris Doctor (JD) degree from an accredited law school.

Excellent academic credentials are required.

Certifications:Admission to the Texas Bar or eligibility to waive into the Texas Bar is required.
