Job Details

Corporate Associate with 3-5 years of solid corporate law experience to work in our Pittsburgh office. The position requires significant client contact and the ability to excel when working independently. Superior client communication, writing, research, computer, and organizational skills are a must. Experience with general corporate matters, corporate governance, drafting securities offerings documents (public and/or private), venture capital and private equity transactions, commercial lending transactions, commercial contracts, and complex M&A transactions preferred. Tax and deal structuring a plus.

Responsibilities:

  • Draft, review, and revise pleadings, motions, briefs, opinions, and other legal documents.
  • Represent clients in court or before government agencies, presenting evidence to defend or prosecute in civil litigation.
  • Interpret laws, rulings, and regulations for individuals and businesses and provide legal advice.
  • Conduct legal research and analysis of legal problems to guide case strategy.
  • Handle all aspects of discovery, including taking and defending depositions.

Qualifications:

  • Juris Doctorate degree from an accredited law school.
  • Admission to the state bar and in good standing.
  • A minimum of 3 years of litigation experience, with a focus on business and contract disputes.
  • Proven experience in drafting and arguing motions, taking and defending depositions, and managing discovery.
  • Exceptional knowledge of federal and state laws, court procedures, precedents, government regulations, executive orders, agency rules, and the democratic political process.
  • Strong analytical and problem-solving skills, with the ability to think strategically and provide practical legal solutions.
  • Exceptional negotiation skills with the ability to resolve complex legal disputes.
