A law firm is seeking a highly experienced Mid-to-Senior Associate Attorney to join their Tax-Exempt Organizations and Philanthropy practice group. The candidate must have significant experience advising private foundations and charitable organizations on complex legal and tax matters. The ideal attorney will handle intricate tax issues and provide counsel to clients on structuring and managing tax-exempt organizations, charitable giving, corporate governance, and compliance with federal and state laws.Responsibilities:

Guide grant agreements, tax compliance, succession planning, and operational issues for private foundations.Form nonprofit corporations and charitable trusts; assist in obtaining federal and state tax-exempt status.Advise individuals and families on charitable gift planning, donor-advised funds, and other philanthropic structures.Advise large charitable organizations on corporate governance, tax exemption issues, and unrelated business taxable income (UBTI).Structure and negotiate mergers, affiliations, and joint ventures involving both nonprofit and for-profit entities.Tax and Audit Representation: Represent tax-exempt organizations during federal and state audits, focusing on tax and charitable law compliance.Counsel clients on complex organizational structures involving both for-profit and nonprofit entities.Advise private foundations on strategies for succession and long-term planning.Ensure clients' compliance with applicable federal, state, and local tax laws and regulations related to tax-exempt organizations.Requirements:

Experience:

Experience working with tax-exempt organizations and philanthropic clients.Significant experience advising private foundations and large 501(c)(3) organizations.Experience in federal and state tax law, nonprofit governance, and compliance issues.

Legal Knowledge:

Strong understanding of tax-exempt law, including Internal Revenue Code Section 501(c)(3) and related regulations.Familiarity with donor-advised funds, charitable trusts, and philanthropic gift planning.Experience representing clients in tax and audit matters related to charitable organizations.

Transactional Experience: Experience structuring complex mergers, joint ventures, and affiliations involving nonprofit and for-profit entities.Communication: Excellent written and oral communication skills, with the ability to explain complex legal and tax issues to clients clearly and concisely.Analytical Skills: Strong analytical and problem-solving skills, with the ability to navigate complex legal frameworks.Client Management: Demonstrated ability to manage client relationships and lead complex engagements.Education and Certifications:

Juris Doctor (JD) from an accredited law school.Active Bar Membership in Washington, DC, or eligibility to waive into the DC Bar.Skills:
