Advise Private Foundations & Charitable Organizations:

Provide strategic legal counsel on complex legal and tax issues impacting private foundations and charitable organizations.Formation and Tax Exemption:

Assist clients in forming nonprofit corporations and charitable trusts, and in obtaining tax-exempt status.Grant Agreements & Compliance:

Advise private foundations on drafting and reviewing grant agreements, ensuring tax compliance, and providing advice on succession planning.Philanthropic Advising:

Counsel philanthropists on making charitable gifts, structuring donations, and utilizing donor-advised funds effectively.501(c)(3) Governance:

Advise large 501(c)(3) organizations on corporate governance, compliance with tax-exemption rules, and Unrelated Business Taxable Income (UBTI) issues.Nonprofit Mergers & Joint Ventures:

Structure mergers, affiliations, and joint ventures involving both for-profit and not-for-profit entities.Complex Entity Structures:

Guide structures involving a mix of for-profit and nonprofit entities, ensuring legal compliance and operational success.Representation in Audits:

Represent tax-exempt organizations in federal and state audits related to tax and charitable matters.Qualifications and Requirements:

Experience:Experience advising private foundations and charitable organizations on tax and legal issues.Proven track record in forming nonprofit organizations and obtaining tax exemption.Experience advising on corporate governance, tax compliance, and UBTI for 501(c)(3) entities.Strong background in handling mergers, affiliations, and joint ventures involving nonprofits.Education:Juris Doctor (JD) from an accredited law school.Strong academic record preferred.Licensure & Certifications:Active membership in good standing with the Texas Bar (or eligibility to waive in).Skills:

Legal Expertise:

Extensive knowledge of tax-exempt organizations and philanthropic law, including tax compliance, corporate governance, and federal and state tax regulations.Client Communication:
