A law firm is seeking a skilled Mid-to-Senior Associate Attorney with substantial experience in advising tax-exempt organizations and philanthropic clients on complex legal and tax matters. The ideal candidate will have expertise in navigating issues related to private foundations, charitable organizations, and 501(c)(3) entities. This role will also involve providing legal guidance on tax compliance, grant agreements, succession planning, and the formation of nonprofit corporations.Key Responsibilities:

Advise private foundations and charitable organizations on complex legal and tax issues.Form and obtain tax exemption status for nonprofit corporations and charitable trusts.Provide legal counsel to private foundations on grant agreements, tax compliance, and succession planning.Advise philanthropists in making charitable donations and structuring gifts through donor-advised funds.Counsel large 501(c)(3) organizations on corporate governance, tax exemption, and unrelated business taxable income (UBTI).Structure mergers, affiliations, and joint ventures involving nonprofit organizations.Advise on complex structures that involve both for-profit and not-for-profit entities.Represent tax-exempt organizations in federal and state audits related to tax and charitable compliance.Develop strategies for mitigating legal risks for nonprofit clients.Stay informed on evolving tax laws, IRS regulations, and legal precedents relevant to the nonprofit sector.Requirements:

Juris Doctor (JD) degree from an accredited law school.Admitted to practice law in Delaware or ability to obtain Delaware Bar admission.Experience in advising tax-exempt organizations, private foundations, and charitable organizations.Deep understanding of federal and state tax laws governing nonprofits, including IRS regulations applicable to 501(c)(3) organizations.Experience with grant agreements, succession planning, and tax compliance for private foundations.Strong familiarity with tax-exempt structuring, including joint ventures and mergers of nonprofit organizations.Experience in representing clients in audits and regulatory investigations.Education:

Juris Doctor (JD) from an ABA-accredited law school.Certifications & Licenses:

Active Bar license in Delaware or ability to secure admission to the Delaware Bar.Skills:

Strong legal research and analytical skills, particularly in tax law and nonprofit governance.Excellent written and verbal communication skills for effectively conveying complex legal concepts.High attention to detail and organizational skills.Ability to work both independently and collaboratively with a team.Exceptional client management skills, with the ability to advise and represent sophisticated tax-exempt organizations.Strong negotiation and problem-solving abilities.
