Assistant General Counsel, Corporate & SecuritiesDescription: The Assistant General Counsel, Corporate & Securities, will provide legal support on corporate and securities law matters with three primary areas of focus: i) securities law compliance, ii) capital markets and corporate finance, and iii) general corporate law support.Securities law compliance: a) provide legal advice on SEC disclosure issues and assist with or lead preparation and submission of annual and periodic securities filings including supporting preparation of Form 10-K, 10-Q, and 8-K filings, and leading the preparation of proxy statement, registration statement, and 13-D/F filings; b) support the Corporation’s insider trading compliance program, including the administration of 10b5-1 trading plans and compliance with Section 16 filing requirements; and c) provide advice on securities matters relating to portfolio shaping activities.Capital markets and corporate finance: provide legal advice to the Corporate Finance and Treasury functions by providing advice on capital markets transactions, financings, credit facility matters, share repurchases, insurance and other matters.General corporate law: provide general legal support to the Corporate Secretary’s Office and other corporate functions on matters of Maryland corporate law, NYSE listing requirements, corporate governance matters, and other issues as they arise.

Admitted to practice law and a member in good standing in at least one state.A minimum of 5 years of experience focused on providing legal advice on securities law compliance and corporate finance matters at a law firm, the SEC or a corporate legal department.Demonstrated ability to work independently and without close supervision, collaborate well with others, and participate in, and lead, cross-functional teams.Skilled in writing and communicating concisely and precisely; comfortable counseling and communicating with senior executives.Ability to prioritize tasks, assume ownership of issues and take responsibility for work, and drive projects/issues to completion.Desired Skills:At least 8 years of experience practicing law.People leadership and project management experience.Inclusive work style that builds trust and fosters relationships and a sense of belonging.Mission driven with an understanding of the unique issues that face highly regulated industries and familiarity with the aerospace and defense industryFamiliarity with and commitment to Lockheed Martin’s Core Values.Clearance Level:

Lockheed Martin supports a variety of alternate work schedules that provide additional flexibility to our employees. Schedules range from standard 40 hours over a five day work week while others may be condensed. These condensed schedules provide employees with additional time away from the office and are in addition to our Paid Time off benefits.Schedule for this Position:
4x10 hour day, 3 days off per weekPay Rate:The annual base salary range for this position in California and New York (excluding most major metropolitan areas), Colorado, Hawaii, Maryland, Washington or Washington DC is $172,400 - $330,300. For states not referenced above, the salary range for this position will reflect the candidate’s final work location. Please note that the salary information is a general guideline only. Lockheed Martin considers factors such as (but not limited to) scope and responsibilities of the position, candidate's work experience, education/ training, key skills as well as market and business considerations when extending an offer.
