PHMC is seeking an Associate Attorney who is interested in joining our Legal team. Located in Center City, Philadelphia, PHMC serves the Greater Philadelphia region with more than 3000 employees, 350 programs, a network of subsidiary organizations, 50 locations, and close to 350,000 clients served annually. PHMC is one of the largest and most comprehensive public health organizations in the nation.This position offers a tremendous opportunity for learning and professional growth and has the following requirements:

RESPONSIBILITIES:

Draft, review, revise and negotiate a variety of contracts to support all programs and subsidiaries.Oversee outside counsel when necessary for transaction and litigation matters.Communicate contract risks and terms to internal business partners and work collaboratively with business leaders.Provide business-oriented and practical advice and cross-functionally for programs and subsidiaries.Provide advice and assistance on a variety of other legal issues, including commercial, employment, and regulatory matters.Work collaboratively with members of legal and other departmentsProvide guidance for employment law issues.Support litigation matters and risk.Assist in obtaining and maintaining the qualifications and licenses required to support the Company’s business and facilitate regulatory agency examinations.Provide guidance on the formulation of policies and procedures applicable to enterprise operations and businesses.Assist in internal corporate governance responsibilities and board governance matters.Fulfill additional responsibilities as delegated.QUALIFICATIONS:

Demonstrated commitment to, and desire to work with, nonprofit organizations and related business matterFamiliarity and knowledge base in the following areasCorporate law, bylaws and resolution draftingNon-profit corporate governancetransactional experiencesignificant employment law knowledgestrong contract drafting skills required

Licensed to practice law in PExcellent communications skills – both oral and written, including ability to explain legal concepts to non-lawyersStrong legal and business judgment acumenExcellent research and analytical skillsAbility to work independently as well as with multiple teamsStrong critical thinking, interpersonal, public speaking skillsHealth care law experience a plusOTHER

EXPERIENCE:

Minimum of 5 to 10 years’ applicable legal experienceEDUCATION:

Juris Doctor degree from an American Bar Association accredited law schoolLicensed to practice law in PA
