Position Summary Details
The Commercial Contracts Paralegal will provide support to our General Counsel, assisting with the drafting, review and management of a wide range of commercial agreements, as well as general research and special projects.
Essential Duties & Responsibilities
The essential functions include, but are not limited to the following:
Draft, review, and revise commercial contracts, such as SaaS master service agreements, statements of work, order forms, vendor contracts, licensing agreements, and non-disclosure agreements.Conduct research, under the guidance of supervising attorney, on relevant laws, regulations, and industry standards to ensure contract compliance.Maintain a centralized contract repository and tracking system to monitor key dates, obligations and milestones.Coordinate the contract review and approval process, including distributing finalized agreements.Provide support during contract negotiations, including preparing redlines, summaries and other supporting documentation.Assist with implementation and maintenance of contract management policies and procedures.Collaborate with legal, procurement, and business teams to identify and resolve contractual issues.Perform other paralegal duties as assigned, such as document organization, file management and ad hoc research.Undertake other ad hoc projects under supervision of attorneyMinimum Qualifications (Knowledge, Skills, and Abilities)
Associate or bachelor's degree in paralegal studies, business or a related field.Minimum 3-5 years of experience as a paralegal, with a focus on commercial contracts.Strong working knowledge of contract law, including common commercial contract terms and provisions.Proficient in contract drafting, review and negotiation.Driven and self-motivated; curious, with a strong desire for learning.Extremely organized with a strong sense of priority, urgency and commitment to deadlines.Excellent written and verbal communication skills.Attention to detail and commitment to accuracy.Highly organized with the ability to manage and prioritize multiple projects and deadlines.Ability to work independently while functioning well in a team environment.Ability to understand general business operations, issues and dynamics beyond the scope of basic legal issues.Ability to communicate effectively with members of other departments to support their functions as well as to assist them in supporting the Legal team.Strong computer skills, including proficiency with Microsoft Office products (Word, PowerPoint & Excel).Supervisory Responsibilities
This role does not have any direct reports and is a single contributor role.
Working Environment and Travel Requirements
Work is typically in a normal office administrative environment involving minimal exposure to physical risks.Position requires little to moderate physical activity. Mostly sedentary work exerting up to 10 pounds of force occasionally or a negligible amount of force to lift, carry, push, pull, or otherwise move objects. Work involves sitting most of the time, but may involve walking or standing for brief periods of time. No significant stooping is usually required.Ability to travel to Nashville up to 10% (preferred)
