The ideal candidate will demonstrate expertise in drafting and negotiating financing documentation, focusing on supporting complex project finance initiatives.Duties:Draft and negotiate principal financing agreements, including loan agreements, security documents, and inter-creditor agreements.Provide legal advice and support on project finance transactions, ensuring compliance with regulatory requirements and industry standards.Conduct legal due diligence, and review project documentation to identify potential risks and advise on mitigation strategies.Collaborate with clients, financial institutions, and other stakeholders to effectively structure and execute project finance transactions.Prepare legal opinions, memoranda, and other documents related to project finance matters.Requirements:Juris Doctor (J.D.) degree from an accredited law school.Admission to the Texas State Bar or eligibility for admission through reciprocity.5-8 years of progressive experience in project finance law, preferably focusing on infrastructure and energy projects.Proven track record in drafting and negotiating complex financing agreements.Strong understanding of financial and business principles relevant to project finance transactions.Preferred Qualifications:Experience reviewing project documentation such as engineering contracts, construction agreements, and regulatory filings.Familiarity with financing structures commonly used in project finance, including debt financing, equity investments, and tax equity arrangements.Skills:Excellent communication and interpersonal skills, with the ability to collaborate effectively with diverse teams.Analytical mindset with strong problem-solving abilities and attention to detail.Ability to manage multiple priorities and work under tight deadlines in a fast-paced environment.Proficiency in legal research and writing, with a thorough understanding of relevant laws and regulations.Certifications:Certification or specialization in project finance law or related field (preferred).
