A law firm is seeking a Senior Corporate and Business Attorney with over 10 years of experience in employment law, business transactions, and corporate governance. The ideal candidate will bring a wealth of knowledge and strong expertise in handling business-related legal matters, including drafting and negotiating agreements and resolving business disputes. This role is based in Potomac, MD, and offers a competitive benefits package. The attorney should be admitted to practice in Maryland, with a preference for additional admissions in Washington, D.C., and Virginia.
Duties:
Provide legal counsel on a broad range of corporate and business law matters, including business formations, mergers, acquisitions, and reorganizations. Draft, review, and negotiate a variety of legal documents, such as shareholders' agreements, operating agreements, non-compete agreements, and executive compensation contracts. Advise clients on employment law issues, including employee relations, regulatory compliance, and drafting employment-related agreements. Resolve business disputes through negotiation, mediation, or litigation, as necessary. Offer strategic guidance to clients on corporate governance and risk management. Build and maintain strong client relationships by providing sound legal advice and maintaining regular, clear communication. Collaborate with other attorneys and legal professionals on complex transactions and case strategies. Maintain up-to-date knowledge of changes in business and employment law to provide proactive advice to clients. Requirements:
Minimum of 10 years of experience in business, corporate, and employment law. Admission to practice law in Maryland is required; admission to practice in D.C. and Virginia is preferred. Exceptional writing, research, and analytical skills, with the ability to clearly articulate legal concepts to clients. Proven experience handling business transactions, including mergers, acquisitions, and drafting corporate agreements. Strong expertise in employment law, particularly in non-compete, executive compensation, and regulatory compliance. Ability to work independently on cases while also thriving in a collaborative team environment. Excellent interpersonal communication skills, with a client-focused approach to service. High level of attention to detail and sound judgment in all legal matters. Education:
Juris Doctor (JD) degree from an accredited law school. Certifications:
Licensed to practice law in Maryland. Admission to the D.C. and Virginia Bars is preferred but not mandatory. Skills:
Advanced expertise in corporate law, business transactions, and employment law. Strong contract drafting and negotiation skills. Excellent client management and communication abilities. Proficiency in resolving business disputes. Ability to balance independent case management with collaborative teamwork. Strong organizational skills and ability to manage multiple priorities in a fast-paced legal environment. Location:
