Job Summary: Xponential Fitness is seeking a motivated and detail-oriented in-house legal counsel with 2-3 years of experience in commercial transactional law. The ideal candidate will support various departments within the organization, providing legal advice and services across a range of commercial matters. This position is suited for an attorney who is adaptable, collaborative, and capable of managing multiple legal projects effectively. This position will report to the Vice President of Legal Affairs, Commercial Contracts and Intellectual Property. Responsibilities: Draft, review, and negotiate a variety of commercial agreements, including but not limited to vendor contracts, licensing agreements, service agreements, and confidentiality agreements. Provide legal support to business teams in structuring, negotiating, and documenting business transactions. Conduct legal research and analyze regulations, statutes, and case law related to the company's operations and industry. Advise internal stakeholders on legal and business risks associated with contractual arrangements and proposed business initiatives. Collaborate with outside counsel as necessary to address complex legal matters and support specialized projects. Assist in maintaining corporate records, ensuring compliance with applicable laws, regulations, and company policies. Contribute to the development and implementation of policies and processes to improve legal efficiency and minimize risk. Aid in the implementation of systems and processes for contracts lifecycle management. Benefits: Medical, Dental and Vision benefits. This role is eligible for a monthly cell phone allowance. Qualifications: Juris Doctor (JD) degree from an accredited law school. Licensed to practice law in the applicable jurisdiction or eligible for in-house counsel registration. 2-3 years of experience in commercial transactional law, preferably from a law firm environment. Strong knowledge of contract law and experience with commercial agreements. Proof of eligibility to work in the United States. Ability to work independently, exercise good judgment, and prioritize tasks in a fast-paced environment. Excellent communication, negotiation, and interpersonal skills with the ability to interact with all levels of the organization. Strong analytical and problem-solving skills with attention to detail. Excellent research and writing skills; ability to prepare clear, concise, and complete legal documents, reports, correspondence and other communications materials on complex legal issues; ability to communicate effectively in English, in both written and oral forms; ability to make effective public presentations. Ability to exercise initiative, independent judgment, and work with discretion. Ability to deal effectively with all business contacts, including government agencies, and to establish and maintain effective working relationships with co-workers, internal clients, and external business partners. Sound judgment and superior decision-making, multitasking and problem solving skills; ability to meet prescribed deadlines. Basic proficiency in MS Word, Excel and PowerPoint Self-motivated and self-directed and able to work without direct supervision on assigned projects and tasks.
