PRINCIPAL COUNSEL, NONPROFIT ORGANIZATIONS & CHARITABLE GIVING, Oakland, CA

This position provides substantial expertise in the area of nonprofit organizations and charitable giving matters, including: tax-exempt org, nonprofit corporate and charitable trust law compliance and reporting; entity structuring and transactions (i.e., forming and managing subsidiaries and related organizations, establishing relationships with affiliates, structuring joint ventures, and exploring and carrying out mergers and acquisitions); political intervention and lobbying; nonprofit corporate governance; unrelated business income; and endowments and complex charitable gifts. Some experience with planned giving desired but not required.Responsibilities require substantial knowledge of laws, regulations and policies applicable to tax-exempt, nonprofit and charitable organizations, as well as Regents bylaws, policies, and guidelines. Drafts, reviews, and revises a variety of legal instruments involving the University's interests.All team members are expected to actively participate in initiatives to promote diversity, equity, and/or inclusion, whether at UC or in the community.Asian American Bar Association of the Greater Bay Area
