Commercial CounselMaxar is currently seeking a Director, Corporate Attorney to join our team in Westminster, CO. As Director, Corporate Attorney at Maxar, you will work on exciting legal issues and provide creative guidance to our Earth Intelligence business. You’re smart and pragmatic, but also look for innovative solutions to challenging projects. You have deep experience in drafting complex commercial agreements, negotiating Government contracts, interpreting and drafting license terms and subscription agreements, advising internal business leaders on risk, and developing innovative solutions to recurring challenges.Responsibilities
Review, draft and negotiate complex commercial agreements with enterprise customers and company vendors.Review, draft, and negotiate Government contracts and subcontracts.Review, draft and negotiate imagery and software licenses and intellectual property agreements.Advise Product on the rollout of new products and support third party product distribution agreements.Support the on-going improvement of standard form agreements and implementation of AI contracting tools within the legal department and across the Company.Provide clear and understandable legal advice to various groups, including Sales, Procurement, Product, Marketing, IT, and Communications.Manage agreements and disputes in a manner that complies with Company policies and risk tolerance.Advise business clients, as well as Finance and other stakeholders, on legal issues and risks, approval processes, company policies and procedures, IP, and business strategy.Minimum Requirements
JD degree from accredited law school.Admitted to the bar and in good standing or otherwise authorized to practice law in Colorado.Minimum of 8 years of attorney work experience in commercial contracts, Government contracts, intellectual property matters, business development and technology transactions.Must be a U.S. citizen or permanent resident.Preferred Qualifications
Extensive background in drafting and facilitating services agreements, sales agreements, licenses, and intellectual property agreements.Experience negotiating Government contracts and ability to obtain a security clearance.Experience leveraging CLM tools, including AI.Ability to manage a diverse portfolio of projects under tight timelines.Proven ability to work collaboratively.Law firm and in-house transactional experience.Ability to travel as needed.Professional and positive approach to daily business.Our salary ranges are market-driven and set to allow for flexibility. Individual pay will be competitive based on a candidate’s unique set of knowledge, skills, and geographic diversity, with earnings potential commensurate with experience.
