Real Estate Associate Attorney

A law firm is seeking a talented and experienced Real Estate Associate Attorney to join its Palo Alto, CA office. The ideal candidate will have 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and/or commercial mortgage-backed securities (CMBS). This position requires excellent academic credentials, along with strong verbal, written, and interpersonal skills to provide high-quality legal representation to clients and collaborate effectively with colleagues.
Key Responsibilities:
Represent clients in real estate financing transactions, including the preparation, review, and negotiation of loan documents, mortgages, and other security instruments. Advise and represent lenders in complex financing matters, including structuring and negotiating co-lender and intercreditor agreements. Manage transactions involving commercial mortgage-backed securities (CMBS), ensuring legal and regulatory compliance. Conduct thorough due diligence, including title reviews, resolving title issues, and reviewing surveys and environmental reports for real estate transactions. Draft and negotiate a variety of real estate documents, such as deeds, promissory notes, loan agreements, security agreements, and more. Provide strategic legal advice to clients on the structuring, negotiation, and execution of real estate transactions. Manage multiple real estate finance projects from inception to closing, coordinating with internal and external stakeholders to ensure seamless execution. Work closely with other attorneys and legal staff to ensure transactions are compliant with federal, state, and local regulations. Keep current on developments in real estate law, particularly in relation to real estate finance and commercial real estate. Assist clients in resolving post-closing matters and other ongoing legal needs related to real estate transactions. Requirements:
Experience : 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and CMBS transactions. Education : Juris Doctor (JD) degree from an accredited law school. Bar Admission : Licensed to practice law in California or eligible to waive into the California Bar. Academic Credentials : Strong academic background with demonstrated excellence in relevant coursework. Certifications:
Active and in good standing with the California State Bar. Skills:
Strong legal research, analytical, and problem-solving skills, particularly in real estate finance and CMBS. Excellent verbal and written communication skills, with the ability to convey complex legal concepts clearly to clients and colleagues. Proficiency in drafting, reviewing, and negotiating complex real estate and financing documents. Strong organizational skills, with the ability to manage multiple projects and deadlines effectively. Attention to detail and the ability to work independently as well as part of a collaborative team. Ability to build and maintain strong relationships with clients and provide strategic legal advice. High level of professionalism, integrity, and work ethic. Preferred Qualifications:
Experience with California real estate laws and regulations is a plus. Knowledge of environmental and land use issues related to real estate transactions is desirable.
