Salary: $48 - $58 per hour

Based in the OC area, we are seeking an experienced and highly motivated Senior Corporate Paralegal to join our dynamic legal team. This role is an integral part of our company's legal department, providing comprehensive support in the area of corporate law and contracts. The successful candidate will offer a stable career history of longer-term employment in the Corporate space (retail or restaurant industry a PLUS).

Job Details

Responsibilities:

  1. Assist in the preparation and filing of legal documents, including contracts, corporate resolutions, and securities filings.
  2. Conduct comprehensive legal research and analysis on various corporate and securities law matters.
  3. Coordinate with internal teams and external counsel to ensure compliance with federal, state, and local laws and regulations.
  4. Assist in the management of the company's corporate governance, including board and committee meetings, minutes, and related matters.
  5. Support the legal team in the due diligence process for mergers, acquisitions, and other strategic transactions.
  6. Maintain an organized and updated database of all corporate records, contracts, and legal documents.
  7. Provide legal support for the sales team, including contract review and negotiation.
  8. Monitor changes in laws and regulations that may affect the company and provide timely updates to the legal team and relevant stakeholders.

Qualifications:

  1. A Bachelor's degree is required. A Paralegal Certificate from an ABA-approved program is strongly preferred.
  2. A minimum of 3 years of stable experience as a corporate paralegal, preferably in the retail or restaurant Corporate environments.
  3. Proficient knowledge of corporate law and securities, including experience with SEC filings and corporate governance.
  4. Exceptional research and analytical skills, with the ability to interpret complex legal documents and regulations.
  5. Strong organizational skills and attention to detail, with the ability to manage multiple tasks and projects simultaneously.
  6. Excellent communication and interpersonal skills, with the ability to interact effectively with all levels of the organization.
  7. Proficiency in Microsoft Office Suite and legal research tools.
  8. Demonstrated ability to maintain confidentiality and handle sensitive information with discretion.
  9. Self-motivated, with the ability to work independently and as part of a team.
