As a Vice President – Employee Benefits and Executive Compensation Attorney in the HR Law Practice Group, you will work with a team of benefits attorneys supporting human resources professionals, as well as other legal colleagues, control partners, and business leaders who provide cutting-edge benefits to JPMorgan’s employees. Typical activities include assessing risk and mitigants in connection with the innovation and evolution of the firm’s benefits and executive compensation strategies. This attorney advises a team of Human Resources professionals on benefits and executive compensation matters. This position requires a deep understanding of US legal and regulatory frameworks, as well as the ability to partner with clients on solutions that align with our strategic goals. The ideal candidate will be a proactive problem-solver with a strong background in employee benefits law and executive compensation.
The Legal Department at JPMorgan Chase & Co. manages legal and other risks, advises on products and services, interprets laws and regulations that impact the firm, and advises the firm on other matters. Job Responsibilities
Advise on executive compensation arrangements, including employment agreements, severance agreements, change-in-control agreements, and incentive plans.
Assist in the preparation of executive compensation disclosures for proxy statements and other SEC filings.
Provide expert legal advice on employee benefits and executive compensation matters, including health and welfare benefits, equity, and deferred compensation plans.
Assess relevant laws and regulations, including 409a, ERISA, IRC, DOL, SEC, HIPAA, and other applicable federal and state laws.
Monitor and analyze legislative and regulatory developments affecting employee benefits and executive compensation, and advise on necessary adjustments to company policies and practices.
Collaborate with HR, finance, and other departments to design, implement, and administer innovative employee benefit programs and executive compensation plans.
Draft, review, and negotiate plan documents, agreements, and related materials.
Provide legal support on employee benefits and executive compensation issues in connection with mergers, acquisitions, and other corporate transactions.
Conduct due diligence, identify potential risks, and develop strategies to address benefits and compensation-related issues.
Partner with litigation colleagues and outside counsel to handle employee benefits and executive compensation-related disputes and litigation.
Required Qualifications, Capabilities, and Skills
JD or educational equivalent required.
Active license to practice law or to be licensed immediately in jurisdiction.
At least 7 years experience as an employee benefits and executive compensation attorney, in a corporate or law firm setting.
Experience in 409a, ERISA, IRC, DOL, SEC, and HIPAA.
Ability to understand business issues, and help to formulate workable solutions that mitigate risk to the firm.
Ability to communicate, write, and interact effectively with all levels of personnel and management, including senior executives.
Ability to provide firm guidance on complex and sensitive issues with the appropriate balance of commercial risk.
Proven facility with Controls and Judgment through complex roles.
All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment.
