A law firm is seeking a Mid-to-Senior Level Corporate Healthcare Transactional Associate Attorney to join their dynamic team in Menlo Park, CA. This role offers the opportunity to work alongside a team of experienced attorneys, providing innovative healthcare clients with critical guidance on transactional matters. The ideal candidate will have the chance to lead and contribute to strategic transactions, including mergers and acquisitions, asset and equity acquisitions, venture capital investments, and joint ventures, while also supporting clients with their corporate and organizational workflow.Job Responsibilities:

Collaborate with a team of attorneys to provide comprehensive legal advice to healthcare clients.Advise on and manage various types of strategic transactions, including:

Mergers and acquisitions (M&A)Asset and equity acquisition transactionsVenture capital and private equity investmentsJoint venture transactions

Assist clients with corporate and organizational workflow, including:

Business entity formationsCapital raises and financingOperational strategies and business developmentContract negotiations and draftingGeneral corporate governance and compliance matters

Work directly with clients and third-party advisors to address legal concerns and transactional processes.Take ownership of projects, ensuring that deadlines are met and quality standards are maintained.Conduct legal research, draft legal documents, and provide thorough analysis and recommendations.Job Requirements:

4-6 years of experience in mergers & acquisitions (M&A) and private equity, specifically within the healthcare sector.Strong knowledge and experience with healthcare regulatory frameworks and transactional processes.Excellent oral communication, writing, research, and analytical skills.Ability to work collaboratively with a team while also managing independent responsibilities.Demonstrated ability to communicate directly with clients and third-party advisors effectively.Self-motivated and capable of taking ownership of projects from start to finish.Education & Certifications:

Juris Doctor (J.D.) degree from an accredited law school with outstanding academic credentials.Admission to the California Bar is required.Proficiency in transactional law, particularly in healthcare-related M&A, private equity, and joint ventures.Strong understanding of corporate governance and healthcare compliance regulations.Exceptional drafting, negotiation, and contract management skills.Ability to perform in-depth legal research and produce well-reasoned legal analysis.Strong interpersonal skills, including the ability to foster client relationships and collaborate with colleagues.
