A law firm is seeking a skilled and experienced Mid-To-Senior Level Corporate Healthcare Transactional Associate Attorney to join their team in Costa Mesa, CA. The attorney will have the opportunity to provide dynamic and innovative healthcare clients with expert legal guidance, primarily focusing on strategic corporate transactions, including mergers and acquisitions, private equity investments, and joint ventures. This role also involves assisting clients with organizational and operational workflows, as well as contract negotiations and day-to-day corporate matters.Duties and Responsibilities:
Work collaboratively with a team of attorneys to provide legal guidance to healthcare clients on strategic transactions.Advise clients on mergers and acquisitions, asset and equity acquisitions, venture capital, private equity investments, and joint ventures.Assist clients with corporate governance and organizational workflow, including entity formations, capital raises, and operational strategies.Negotiate, draft, and review contracts related to healthcare transactions and corporate matters.Provide day-to-day legal support for healthcare clients on various corporate issues.Ensure compliance with healthcare regulations and industry standards during transactional processes.Take ownership of projects and work independently while coordinating with team members to ensure project goals are met.Regularly communicate with clients and third-party advisors to provide updates and address legal concerns.Conduct legal research and analysis on matters related to corporate healthcare law and regulatory issues.Job Requirements:
4-6 years of experience in mergers and acquisitions, private equity, or similar transactional experience within the healthcare sector.Strong understanding of healthcare regulatory laws and compliance standards.Ability to manage multiple high-priority transactions and clients simultaneously.Excellent oral and written communication skills, with the ability to present complex legal matters.Strong analytical and research skills to evaluate legal issues and provide sound legal advice.Ability to work both independently and as part of a team, taking ownership of client matters and transactional processes.Education and Certifications:
Juris Doctor (JD) degree from an accredited law school.Admission to the California Bar is required.Skills and Competencies:
Expertise in mergers and acquisitions, private equity, and healthcare transactions.Exceptional negotiation, drafting, and contract management skills.Strong client relationship management and communication abilities.Ability to work efficiently under pressure and meet tight deadlines.High attention to detail and strong organizational skills.Proficiency in legal research tools and software.
