Corporate Transactional AttorneyLocation: Cumming, GAJob Overview:A well-established law firm based in Cumming, GA, is seeking a highly skilled Corporate Transactional Attorney to join their team. This position is available on a full or part-time basis and offers an opportunity to work in a hybrid environment. The role is focused on managing corporate transactions, including mergers, acquisitions, and regulatory compliance. This is an ideal role for an attorney with experience in corporate law who thrives in high-stakes transactions and complex legal matters.Duties:Lead legal aspects of mergers, acquisitions, joint ventures, and other corporate transactionsDraft, review, and negotiate transaction-related documents such as purchase agreements and shareholder agreementsProvide strategic legal advice on deal structures, corporate governance, and regulatory complianceCollaborate with multidisciplinary teams, including financial advisors and accountants, for smooth transaction executionEnsure compliance with relevant federal, state, and industry regulationsAssess and mitigate risks in corporate transactions and business operationsAdvise on corporate governance, policies, intellectual property, and employment issuesDraft, review, and modify contracts and legal documents as neededRepresent clients in negotiations and provide legal counsel in proceedings and litigationsManage multiple concurrent projects and prioritize tasks effectivelyContribute to the firm's business development through client relationship managementRequirements:Minimum of 5 years of experience in corporate law, specifically with mergers and acquisitionsStrong knowledge of corporate law, securities law, and corporate governanceDemonstrated experience handling complex transactions and regulatory complianceEducation:Juris Doctor (J.D.) from an accredited law schoolCertifications:Must be licensed to practice law in the state of GeorgiaAdditional Bar admissions in other states are considered a plusSkills:Excellent drafting, negotiation, and communication skillsStrong analytical ability to assess legal risks and provide sound legal adviceAbility to manage multiple transactions simultaneously in a fast-paced environmentProficiency in Microsoft Office, legal research tools, and document management software (MyCase, Soluno preferred)Client-focused with strong relationship-building and management skillsJob Location:Cumming, GAComprehensive health, dental, and vision insurance (for full-time)Retirement plan with employer matchingPaid vacation, sick leave, and holidays (for full-time)Opportunities for Continuing Legal Education (CLE) and professional developmentPerformance-based bonusesCompany info
