A law firm seeks a seasoned Franchise Of Counsel to join its Franchise & Distribution practice, specializing in U.S. regulatory franchising matters. This role focuses on transactional work, advising clients on complex franchising issues, drafting agreements, and guiding clients through regulatory compliance. This position offers flexibility for remote work or office placement in Los Angeles, CA.Duties
Draft and review franchise agreements, disclosure documents, and other related regulatory filings.Advise clients on complex franchising transactions, including mergers, acquisitions, and restructurings.Provide counsel on U.S. and international franchise regulations for domestic and international clients.Collaborate with various clients, from private equity firms to emerging and established franchisors.Contribute to the firm’s franchise practice by offering strategic, business-centered solutions.Requirements
At least 8 years of experience in U.S. transactional franchise law, with a solid background in regulatory matters.Active State Bar admission in California or eligibility for admission via waiver.Proven expertise in drafting complex franchise agreements and managing regulatory documentation.Strong analytical skills and the ability to provide actionable insights for client matters.Ability to work independently and collaboratively within a team environment.Education
Juris Doctor (J.D.) degree from an accredited law school.Certifications
Admission to the California State Bar or eligibility for admission via waiver.Skills
Proficiency in drafting franchise agreements, disclosure documents, and regulatory filings.Strong analytical, organizational, and client advisory skills.Exceptional written and verbal communication.Capacity to manage multiple client engagements and deliver timely, solution-oriented advice.
